Terms of Use

These Terms of Use ("Terms") govern your use of the TV Remo mobile application ("App") provided by Aplexity Limited ("we," "our," or "us"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the App. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian's consent.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these Terms and the Apple App Store's Licensed Application End User License Agreement (EULA): https://www.apple.com/legal/internet-services/itunes/dev/stdeula/

3. Subscriptions and Payments

• The App offers auto-renewing subscriptions processed by Apple.
• Payment is charged to your Apple ID at confirmation of purchase.
• Subscriptions auto-renew unless canceled at least 24 hours before the end of the current period.
• You can manage or cancel subscriptions in your Apple ID account settings.
• Prices and trial terms are shown in the App prior to purchase and may vary by region.
• Refunds are handled by Apple per Apple's refund policy.

4. AI Chat Feature

The App includes an AI assistant powered by the OpenAI API.

• Responses are generated by a third-party AI model and may be inaccurate, incomplete, outdated, or inappropriate. Do not rely on AI output for medical, legal, financial, or other professional advice.
• You are responsible for the prompts you submit and the way you use AI output.
• You must not submit: (a) sensitive personal data of yourself or others; (b) content that is illegal, infringing, harmful, harassing, hateful, sexually explicit involving minors, or violates any law; (c) content that attempts to jailbreak, exploit, or abuse the AI system.

5. Remote Control Functionality

• The App communicates with compatible TV devices over your local network.
• You are responsible for ensuring you have authority to control the devices you connect to.
• We are not responsible for the behavior, compatibility, or firmware of third-party TV devices.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the App except as permitted by law;
• Use the App to violate any law or third-party rights;
• Interfere with the App's operation, servers, or networks;
• Use automated means to access the App without our permission;
• Resell, sublicense, or exploit the App commercially.

7. Intellectual Property

All rights in the App, including software, design, branding, text, and graphics, belong to Aplexity Limited or its licensors. These Terms do not transfer any intellectual property rights to you beyond the limited license granted in Section 2.

8. User Content

You retain ownership of the prompts and content you submit ("User Content"). You grant us a worldwide, royalty-free license to process User Content solely to operate the App (including transmission to the OpenAI API to generate responses). You represent that you have all necessary rights to the User Content you submit.

9. Third-Party Services

The App integrates with third-party services (OpenAI, Apple, Firebase/Google, AppsFlyer, RevenueCat). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL TV DEVICES, OR THAT AI OUTPUTS WILL BE ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APLEXITY LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

12. Indemnification

You agree to indemnify and hold harmless Aplexity Limited from any claims, damages, or expenses arising from your misuse of the App or violation of these Terms.

13. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms. You may stop using the App at any time by uninstalling it. Sections that by their nature should survive termination will survive (IP, disclaimers, limitation of liability, governing law).

14. Changes to the Terms

We may update these Terms from time to time. Material changes will be announced in the App or the App Store listing. Continued use after changes means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. Disputes shall be resolved in the competent courts of Hong Kong SAR, unless mandatory local consumer laws require otherwise.

16. Apple-Specific Terms

• These Terms are between you and Aplexity Limited, not Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for the App.
• In case of failure to conform to any applicable warranty, you may notify Apple; Apple's sole obligation (if any) will be to refund the purchase price.
• Apple is not responsible for addressing any claims relating to the App or your use of it.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
